("Procera") (NYSE Amex: PKT), the intelligent policy enforcement company, today announced that, subject to market and other conditions, it plans to offer to sell shares of its common stock in an underwritten public offering. Procera expects to grant the underwriters a 30-day option to purchase up to an additional 15% of the shares of common stock offered in the public offering to cover over-allotments, if any. All of the shares in the offering will be sold by Procera.
Stifel Nicolaus Weisel is the sole book-running manager of the offering and Stern Agee is serving as a co-manager.
A shelf registration statement relating to the offering of the common stock was filed with the U.S. Securities and Exchange Commission on May 13, 2011 and has become effective.
